General Terms of Business.
The basic rules for how Talyn provides its services to clients and candidates.
Version 1.1 · Effective from: September 2026.
1. General provisions
These General Terms of Business set out the basic terms governing the provision of services by Talyn društvo s ograničenom odgovornošću za savjetovanje i usluge, with its registered office at Trg Ante Starčevića 10, 31000 Osijek, Croatia, Personal Identification Number (OIB): 50628290909, entered in the register of the Ministry of Labour, Pension System, Family and Social Policy under number 949/26 (hereinafter: Talyn).
Talyn provides business and organisational consulting, process improvement, support for organisational and team development, candidate sourcing and selection, and other related services within the scope of its registered activities.
These General Terms apply to Talyn’s relationships with business clients using its services (hereinafter: the Client) and, insofar as they relate to employment-related services, to job seekers and candidates (hereinafter: the Candidate).
2. Talyn’s services
Depending on the Client’s needs and the agreed scope of services, Talyn may provide:
- business and organisational consulting;
- analysis, design and improvement of business and organisational processes, including processes related to recruitment;
- consulting related to organisational development, recruitment, the labour market and team development;
- candidate sourcing and selection;
- support for large-scale recruitment projects and team expansion;
- support for recruitment in one or more markets;
- long-term or integrated support for the Client’s internal teams;
- other related services agreed with the Client.
The specific content and scope of the services, the terms of cooperation, timelines, fees and any other specific terms shall be defined in an offer, contract or other written agreement between Talyn and the Client.
3. Establishing a business relationship
A business relationship between Talyn and the Client is established upon acceptance of an offer, conclusion of a contract, or another written agreement setting out the subject matter and the essential terms of the cooperation.
These General Terms form an integral part of the business relationship where the Client has been referred to them before or at the time of entering into a contract or accepting an offer.
If an individual offer or contract contains a provision that differs from these General Terms, the provision of the individual offer or contract shall prevail in relation to that business relationship.
4. Consulting and organisational services
For consulting and organisational services, Talyn provides support within the scope agreed with the Client.
Recommendations, analyses, proposals and other work products are based on the information available to Talyn at the time the services are provided, professional judgement and the agreed scope of services.
The Client is responsible for making final business decisions, implementing recommendations and ensuring that its business complies with all applicable laws and regulations, unless expressly agreed otherwise in an individual contract.
Talyn does not provide legal, tax, accounting or other regulated professional services unless specifically and lawfully agreed.
5. Long-term and integrated support
Where long-term or integrated support is agreed, Talyn may provide ongoing consulting, organisational and/or recruitment-related support for the agreed period.
The scope of activities, priorities, required capacity, working arrangements, reporting, duration and fees shall be defined in an individual offer or contract.
The scope and priorities may be adjusted during the engagement by written agreement between Talyn and the Client.
6. Employment-related services
Talyn provides employment-related services professionally and impartially in its dealings with both Clients and Candidates.
Talyn will not provide employment-related services to an employer where a strike is in progress.
Talyn exercises due professional care in sourcing and assessing Candidates but does not guarantee that every recruitment process will result in the identification or hiring of a suitable Candidate.
The Client makes the final decision on the selection and hiring of a Candidate.
7. Candidates and job seekers
Recruitment services provided to Candidates are free of charge.
Talyn does not charge Candidates for applying, participating in a selection process, having their profile presented to a Client, or any other activities related to recruitment.
Candidates are expected to provide information about their education, experience, qualifications and other circumstances relevant to a job opportunity truthfully and in good faith.
Participation in a selection process does not guarantee an invitation to a further interview, presentation to a Client, a job offer, or the conclusion of an employment or other contract.
A Candidate may inform Talyn at any time that they do not wish to continue with a particular selection process.
8. The Client’s obligations for employment-related services
The Client undertakes to provide Talyn in a timely manner with accurate and relevant information necessary for the proper delivery of the agreed services and for presenting the job opportunity to Candidates.
The Client is responsible for the final assessment of Candidates, the hiring decision, and the terms and legal compliance of any employment or other contractual relationship entered into with a Candidate.
The Client undertakes to provide Talyn in a timely manner with relevant feedback necessary for conducting the selection process.
The Client may make information about Candidates presented by Talyn available only to persons involved in the relevant selection process. If the Client wishes to consider a Candidate for a job opportunity other than the one for which the Candidate was originally presented, the Client shall inform Talyn in advance so that the Candidate can be informed of the new opportunity and their interest confirmed.
9. Candidate introduction, protection period and guarantee
A Candidate shall be considered introduced to the Client when Talyn first provides the Client with the Candidate’s CV, profile or other information that enables the Candidate to be identified.
If an introduced Candidate was already involved in an active recruitment process with the Client independently of Talyn, the Client shall notify Talyn thereof in writing within five (5) business days of the Candidate’s introduction. The mere fact that a Candidate is included in the Client’s existing database, has previously applied to the Client or has previously been in contact with the Client shall not in itself constitute an active recruitment process.
A protection period of twelve (12) months from the date of introduction shall apply to introduced Candidates. If, during this period, the Client employs or otherwise engages an introduced Candidate, regardless of whether this is for the position for which the Candidate was originally introduced or for another position, Talyn shall be entitled to the fee agreed for the relevant search.
If a guarantee period is provided for in the relevant offer or contract, Talyn shall, subject to the conditions set out below, conduct one repeat search at no additional charge for the same or a substantially comparable position if the employed Candidate’s employment ends during that period.
The Client shall be entitled to exercise the guarantee provided that all amounts due to Talyn have been paid in full and that the Client notifies Talyn in writing and requests activation of the guarantee within five (5) business days of becoming aware of the termination of employment.
The guarantee shall not apply where the termination of employment or the need for a replacement results from the elimination or material alteration of the position, reorganisation, workforce reduction, a change in the place or manner of work, working hours, salary or other material employment terms compared with those presented to the Candidate, or where the Client materially changes the required Candidate profile or the terms of the position for the repeat search.
The repeat search shall constitute the Client’s sole remedy under the guarantee. The guarantee does not include a refund or reduction of the agreed fee. If Talyn, despite reasonable professional efforts, is unable to identify a suitable replacement Candidate, this shall not give rise to any obligation to refund or reduce the fee.
The specific fee, duration of the guarantee period and any other specific commercial terms shall be set out in the relevant offer or contract.
10. Fees and payment
The fees for Talyn’s services shall be set out in an offer, contract or other written agreement.
Talyn does not charge Candidates any fees for employment placement services. Such fees are charged exclusively to the employer or Client.
The fee for employment placement services is set as a fixed amount and is not calculated as a percentage of the Candidate’s agreed salary.
The specific fee, method of calculation, payment terms and any reasonable additional costs shall be set out for each service in the relevant offer or contract.
For consulting, organisational and other services that do not constitute employment-related activities, the applicable fees and method of calculation shall be set out in an offer or contract in accordance with applicable laws and regulations.
11. External associates and subcontractors
Where necessary to ensure the proper delivery of services or adequate capacity, Talyn may engage vetted external associates or subcontractors.
Talyn remains responsible to the Client for coordinating the agreed services, unless otherwise agreed in writing.
External associates who have access to confidential information or personal data are subject to appropriate confidentiality and data protection obligations.
12. Confidentiality
Talyn and the Client undertake to keep confidential any non-public business, commercial, organisational or other confidential information obtained in the course of their cooperation.
Confidential information shall not be disclosed to third parties without an appropriate legal or contractual basis, nor used for purposes unrelated to the agreed cooperation.
In relation to employment-related services, the Client shall, in particular, keep confidential all Candidate profiles, CVs, assessments and other information received from Talyn and shall grant access only to persons who require such information for the relevant selection process.
The confidentiality obligations shall continue to apply after the end of the cooperation to the extent required by the nature of the information.
13. Personal data protection
Talyn processes personal data in accordance with applicable data protection laws.
Detailed information about the processing of personal data is available in the Privacy Statement published on Talyn’s website.
Talyn and the Client process personal data only for lawful and specified purposes and apply appropriate protective measures.
In relation to employment-related services, the Client shall use Candidate data received from Talyn only for the relevant purpose associated with the selection process and shall grant access only to persons who require such data.
The respective roles of Talyn and the Client in the processing of personal data shall be determined based on how personal data is actually processed in connection with each service. Where a particular engagement requires additional contractual arrangements governing the processing of personal data, these shall be set out in the relevant provisions of the contract or in a separate addendum.
14. Intellectual property and use of materials
Methodologies, templates, tools, concepts, operating models and other materials developed by Talyn before or independently of a particular engagement shall remain the property of Talyn, unless otherwise agreed in writing.
Materials developed specifically for the Client may be used by the Client for the purpose for which they were developed and within the scope agreed for the relevant service.
Talyn’s internal methodologies, templates and other materials may not, without Talyn’s prior written consent, be sold, transferred to third parties or commercially exploited beyond the agreed purpose.
15. Liability
Each party is responsible for fulfilling its contractual and legal obligations.
Talyn shall not be liable for the consequences of inaccurate, incomplete or misleading information provided by the Client, a Candidate or a third party, where Talyn was not aware of the inaccuracy and could not reasonably have identified it in the circumstances.
For consulting services, the Client remains responsible for final decisions and the implementation of recommendations.
For employment-related services, the Client remains responsible for the final assessment of Candidates, the hiring decision and any relationship subsequently established with a Candidate.
Talyn shall not be liable for circumstances or outcomes beyond its reasonable control.
Specific rights, obligations and any permitted limitations of liability may be further set out in an individual contract.
16. Duration and termination
The duration of the engagement, termination rights, notice periods and the consequences of termination shall be set out in the relevant offer or contract.
Termination of the engagement shall not affect any rights or obligations arising before termination, including payment obligations that have become due, confidentiality and personal data protection obligations, and any other rights or obligations which, by their nature, continue to apply after termination.
17. Force majeure
A party shall not be liable for any delay or failure to perform an obligation caused by an extraordinary event beyond its reasonable control that it could not reasonably have foreseen, prevented or overcome.
The party affected by such circumstances shall notify the other party without undue delay and take reasonable measures to mitigate their consequences.
18. Amendments to the General Terms
Talyn may amend these General Terms to reflect changes in applicable laws and regulations, its services or business operations, or for other justified reasons.
Any existing engagement shall remain subject to the version of the General Terms that was made available to the Client and to which the Client was referred when entering into the contract or accepting the offer, unless Talyn and the Client subsequently agree otherwise.
A new version shall apply to new business relationships from the effective date specified in that version.
Talyn retains previous versions of the General Terms in order to determine which terms applied to a particular business relationship.
19. Governing law and dispute resolution
These General Terms and Talyn’s business relationships shall be governed by the law of the Republic of Croatia, unless otherwise validly agreed for a particular relationship or required by mandatory provisions of applicable law.
Talyn and the Client shall endeavour to resolve any disagreements amicably.
If a dispute cannot be resolved amicably, jurisdiction shall be determined by the relevant individual contract or, in the absence of such a provision, in accordance with the applicable rules on court jurisdiction.
20. International transfers of personal data
Each party shall process personal data in accordance with the data protection laws applicable to it, and their respective roles in the processing shall be determined by the actual circumstances of each processing operation.
The Client shall grant access to Candidate personal data and other personal data received from Talyn only to persons who require such access for the agreed purpose and shall ensure appropriate confidentiality and data protection.
The Client shall inform Talyn before the first relevant transfer if personal data received from Talyn will be made available to a separate legal entity, an affiliated company, a service provider or another recipient outside the European Economic Area (EEA), including where such a recipient participates in the assessment of a Candidate or in making a decision concerning a Candidate.
Where making personal data available to a recipient outside the EEA requires an international transfer mechanism under Chapter V of the GDPR, Talyn and the Client shall, before the transfer and within the scope of their respective responsibilities, ensure that the applicable transfer mechanism and, where necessary, appropriate supplementary safeguards are in place. The Client shall be responsible for the lawfulness of any onward transfers or access that it independently arranges after lawfully receiving the data from Talyn, including transfers to affiliated companies outside the EEA.
Where, at the Client’s request, Talyn transfers personal data directly to a recipient outside the EEA or grants such a recipient direct access, Talyn and the Client shall, before such transfer, determine their respective roles and the appropriate transfer mechanism and ensure that the necessary documentation is in place, including the European Commission’s Standard Contractual Clauses (SCCs), where applicable.
Nothing in this provision shall release Talyn or the Client from their respective obligations under applicable data protection laws.
21. Final provisions
These General Terms are available on Talyn’s website.
If any provision of these General Terms is invalid or unenforceable, this shall not affect the validity of the remaining provisions.
Matters not governed by these General Terms shall be governed by the relevant individual offer or contract and applicable laws and regulations.
For any questions relating to these General Terms, Talyn can be contacted using the contact details published on its website.
These General Terms may also be published in English. In the event of any discrepancy or difference in interpretation between the Croatian and English versions, the Croatian version shall prevail.
